Merchant Terms and Conditions

These Merchant Terms and Conditions govern your access to and use of Constellation Payments’ processing services and any integrated managed solution used to support your payment transactions.

These terms are provided for general informational purposes and are not legal advice. If you have questions about how these terms apply to your business, please consult your legal counsel.

1. Overview

Constellation Payments may offer merchants credit card, debit card, gift card, loyalty card, and other payment processing services, ACH and POS equipment, payments related software, and related tools, goods and services (“Processing Services”), as well as an integrated managed solution for supporting online e-commerce and retail payment transactions (“Managed Solution”).

The Processing Services and Managed Solution are referred to collectively as the “Services”.

To obtain the Services, Merchant must agree to and accept the terms and conditions of this agreement, including the Terms of Service and any Schedules, Exhibits, and Appendices attached hereto, all of which are incorporated by reference (collectively, the “Agreement”).

2. Agreement Acceptance and Scope

By accessing or using the Services, Merchant confirms it has the authority to bind the business to this Agreement and agrees to comply with all applicable laws, regulations, network rules, and industry standards that apply to the Services.

Except as otherwise agreed in writing between Constellation Payments and Merchant, this Agreement represents the complete and exclusive agreement between Constellation Payments and Merchant concerning Merchant’s use of the Services and all related matters, and supersedes all prior agreements, negotiations, or understandings (whether written or oral) relating to the same subject matter.

If there is a conflict between these Terms and any Schedule, Exhibit, or Appendix, the order of precedence will be: (1) the applicable Schedule/Exhibit/Appendix, then (2) these Terms, unless the document explicitly states otherwise.

3. Services

The Services may include, without limitation:

  • Card and ACH payment processing and related reporting
  • POS equipment and peripherals (sold, leased, or provided as applicable)
  • Payments-related software, gateways, terminals, tokenization, and related tools
  • Fraud and risk tools, authentication solutions, and operational support features
  • Managed Solution capabilities supporting online and retail payment flows

Service changes

Constellation Payments may update, modify, or discontinue portions of the Services from time to time to maintain compliance, security, performance, or operational reliability. Material changes may be communicated in accordance with Section 14.

4. Use of the Managed Solution

Merchant is hereby granted the right to access and use the Managed Solution solely for the Merchant’s use to process Transactions on behalf of its Customers.

Merchant may not (and may not permit any third party to) reverse engineer, decompile, disassemble, or attempt to derive the source code of the Managed Solution, except to the extent expressly permitted by applicable law.

“Transactions” means payment transactions submitted through the Services for authorization, capture, settlement, refund, void, or related payment actions.

5. Merchant Account and Responsibilities

Accurate information

Merchant must provide accurate, complete, and current information in connection with onboarding, underwriting, and ongoing account management, including business details, ownership information, banking details, and any requested compliance documentation.

Authorized users

Merchant is responsible for all activity conducted under its credentials and must ensure that only authorized personnel access the Services. Merchant must promptly notify Constellation Payments of any suspected unauthorized access or security incident.

Compliance

Merchant must comply with all applicable laws and regulations (including consumer protection, privacy, marketing, sanctions, and anti-money laundering laws, as applicable), and all card network rules, including those governing transaction acceptance, surcharging (if applicable), refunds, and data security.

6. Prohibited Activities

Merchant may not use the Services for unlawful, deceptive, or abusive practices, or in ways that create unreasonable risk to Constellation Payments, the networks, or customers. Without limitation, Merchant will not:

  • Process transactions for illegal goods or services, or any activity prohibited by applicable law
  • Submit false, incomplete, or misleading transaction data
  • Engage in “factoring,” “laundering,” or processing transactions on behalf of third parties without written approval
  • Attempt to bypass network rules, authorization requirements, or security controls
  • Use the Services to facilitate fraud, identity theft, or unauthorized account access
  • Interfere with or disrupt the Services, including through malware, scraping, or unauthorized automated access

Constellation Payments may suspend or terminate access where prohibited activity is suspected, to protect the ecosystem and comply with legal or network requirements.

7. Honor All Cards

If Merchant accepts card payments, Merchant must honor all valid cards of the brands it has agreed to accept, in accordance with card network rules. Merchant may not discriminate among cardholders or impose additional restrictions that violate network rules.

Merchant must clearly disclose its return, refund, cancellation, and customer service policies at the point of sale and, where applicable, online checkout.

8. Card Acceptance and Transaction Rules

Authorization and capture

Merchant must obtain a valid authorization for each transaction and submit transactions in a timely manner. Merchant must follow all applicable network rules for delayed delivery, pre-orders, recurring billing, and partial shipments.

Customer consent

Merchant must obtain the cardholder’s consent for the transaction amount and any recurring or stored credential arrangements, as required by network rules and applicable law.

Receipts and disclosures

Merchant must provide receipts or confirmations as required, including disclosures that accurately describe the goods/services, total amount, taxes, and customer support contact information.

9. Fees, Funding, and Taxes

Fees

Merchant agrees to pay all fees and charges associated with the Services, as set forth in the applicable Schedule or pricing agreement, including processing fees, network fees, chargeback and retrieval fees, and any monthly or platform fees (if applicable).

Funding and reserves

Settlement timing may vary by payment method, risk profile, and operational factors. Constellation Payments may establish or adjust reserves, rolling reserves, delayed funding, or other risk controls as permitted by the Agreement or required by law or network rules.

Taxes

Merchant is responsible for determining and remitting all applicable taxes arising from its sales and transactions. Constellation Payments does not provide tax advice and does not determine taxability of Merchant’s goods or services.

10. Chargebacks, Disputes, and Returns

Chargebacks

Merchant is responsible for chargebacks, disputes, reversals, returns, claims, fees, fines, penalties, and assessments related to Merchant’s transactions. Constellation Payments may debit Merchant’s settlement account for such amounts, including when a chargeback is received.

Evidence and timelines

Merchant must provide timely and complete documentation to support dispute responses. Failure to respond within network timelines may result in loss of the dispute by default.

Returns and refunds

Merchant must process refunds in accordance with its disclosed policies and network rules, and must not issue cash refunds for card transactions unless permitted by network rules and applicable law.

11. Data Security and PCI Compliance

Merchant must maintain commercially reasonable administrative, technical, and physical safeguards to protect payment data and customer information, and must comply with all applicable security standards, including PCI DSS where required.

Merchant must not store sensitive authentication data (such as CVV/CVC data) after authorization, and must follow secure handling requirements for cardholder data and any tokens or credentials used with the Services.

If Merchant experiences a suspected or confirmed data compromise, Merchant must notify Constellation Payments promptly and cooperate with required investigations, remediation, and network reporting obligations.

12. Suspension, Termination, and Remedies

Suspension

Constellation Payments may suspend Merchant’s access to the Services, in whole or in part, if required by law, network rules, or if Constellation Payments reasonably believes Merchant poses an elevated risk, is in breach of the Agreement, or is engaged in prohibited activity.

Termination

Either party may terminate the Agreement as permitted by the applicable Schedule or written agreement. Upon termination, Merchant must cease use of the Services and return or securely destroy any Constellation Payments confidential materials as applicable.

Effect of termination

Termination does not eliminate Merchant’s responsibility for chargebacks, refunds, disputes, fees, fines, penalties, or other obligations that arise before or after termination related to transactions processed during the term.

13. Limitation of Liability

To the maximum extent permitted by law, Constellation Payments will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenues, data, goodwill, or business opportunities, arising out of or related to the Services, even if advised of the possibility of such damages.

To the maximum extent permitted by law, Constellation Payments’ aggregate liability for claims arising out of or related to the Services will be limited to the amounts paid by Merchant to Constellation Payments for the Services in the period specified in the applicable Schedule, or if not specified, in the three (3) months preceding the event giving rise to the claim.

Some jurisdictions do not allow certain limitations, so these limitations may not apply in full to every Merchant.

14. Entire Agreement and Changes

This Agreement, including all incorporated Terms of Service, Schedules, Exhibits, and Appendices, constitutes the entire agreement between the parties with respect to the Services and supersedes all prior or contemporaneous agreements or communications.

Constellation Payments may update these terms from time to time to reflect legal, regulatory, network, security, or operational changes. Updates will be effective as described in the updated terms or upon posting, unless otherwise required by law. Continued use of the Services after an update becomes effective constitutes acceptance of the updated terms.
